Ninth Supplement to a Personal Services Agreement with French & Associates, LTD. BEFORE THE BOARD OF COUNTY COMMISSIONERS OF LEWIS COUNTY, WASHINGTON APPROVAL OF THE NINTH SUPPLEMENT TO A ) RESOLUTION NO. 18- 984 PERSONAL SERVICES AGREEMENT BETWEEN ) FRENCH &ASSOCIATES, LTD. AND LEWIS COUNTY, ) ACTING AS THE FISCAL AGENT FOR THE CHEHALIS ) RIVER BASIN FLOOD AUTHORITY, AND ) AUTHORIZATION FOR THE DIRECTOR OF COMMUNITY ) DEVELOPMENT TO SIGN THE SAME ON BEHALF OF ) LEWIS COUNTY ) WHEREAS, French&Associates, LTD. has an existing Personal Services Agreement(PSA)with Lewis County, acting as the fiscal agent for the Chehalis River Basin Flood Authority (Flood Authority), to provide professional services to complete a floodplain management analysis for jurisdictions in the Chehalis River Basin; and WHEREAS, the Flood Authority during their August 16, 2018 meeting discussed and recommended approval of the Ninth Supplement to the PSA to increase the amount by twenty-one thousand ($21,000)for the purpose of expanding the Community Rating System (CRS) assistance tasks, further described in Attachment A, the Scope of Work; and WHEREAS, the Ninth Supplement to a PSA between Lewis County and French & Associates, LTD. must be approved by the Board of County Commissioners (BOCC) and the Director of Community Development must be authorized to sign said agreement on behalf of the County; and WHEREAS, the BOCC has reviewed the attached Ninth Supplement to a PSA with French &Associates, LTD. and it appears to be in the best interest to enter into said agreement upon the recommendation of the Flood Authority. NOW THEREFORE BE IT RESOLVED that the BOCC concurs with the recommendation and approves the attached Ninth Supplement to increase the amount by twenty-one thousand ($21,000) for the purpose of expanding the Community Rating System (CRS) assistance task, further described in Attachment A, the Scope of Work.All other terms of the existing PSA, as well as supplemental agreements, remain in full force and effect. BE IT FURTHER RESOLVED that the BOCC authorizes the Director of Community Development to sign the Ninth Supplement Agreement with French & Associates, LTD. on behalf of the County, acting as the fiscal agency for the Flood Authority. THIS NINTH SUPPLEMENTAL AGREEMENT is made and entered into by and between LEWIS COUNTY, WASHINGTON, herein referred to as "County", acting as the fiscal agent for the Chehalis River Basin Flood Authority ("Flood Authority"), and French & Associates, LTD., (1610 Nisqually Street, Steilacoom, WA 98388), herein referred to as "Contractor" (together referred to as "Parties.)" IT IS THE PURPOSE OF THIS AGREEMENT to amend the Parties' Agreement for consulting and coordination services, as executed on March 10, 2014 and subsequently amended by Supplemental Agreements (hereinafter referred to as the "Existing Agreement"). CONTRACTOR acknowledges and by signing agrees to the amendments to the Existing Agreement set forth in this Supplemental Agreement, agrees that they have been mutually negotiated, and further agrees that all of the terms of the Existing Agreement not amended or modified by this Supplemental Agreement are and shall remain in full effect THEREFORE, IT IS MUTUALLY AGREED THAT this Ninth Supplemental Agreement amends the Existing Agreement, including but not limited to the specific tasks and costs as set forth below. Section 1. Statement of Work Contractor shall furnish the necessary personnel, equipment, material and/or services and otherwise do all things necessary for, or incidental to, the performance of the work set forth in the Existing Agreement, as amended by the Scope of Work and Budget, attached hereto as "Attachment A" and incorporated herein by this reference. Section 2. Period of Performance Subject to its other provisions, shall commence on July 1, 2017 and be completed by June 30, 2019, as agreed and shown in the attached Ninth Supplemental Scope of Work, "Attachment A," but may be modified or extended by mutual agreement in accordance with the amendment provisions of the Existing Agreement. Section 3. Payment Total compensation to the Contractor for all work and professional services performed and travel expenses incurred beginning under the original Agreement and continuing through the terms of the original and Supplemental Agreements (between March 10, 2014 and ending June 30, 2019) shall not exceed $648,668.00 without the prior written approval of the County and the formal authorization of the Flood Authority. Note: The payment amount of this Agreement increases the amount described in the Eighth Supplement French &Associates, Ltd Ninth Supplemental PSA Page 1 of 3 Future Non-Allocation of Funds: If sufficient funds are not appropriated or allocated for payment under this contract for any future fiscal period, the County, acting as the lead agency for the Flood Authority, will not be obligated to make payments for services or expenses incurred after the end of the current calendar year. No penalty or expense shall accrue to the County in the event this provision applies. This Ninth Supplemental Agreement and statement of work, period of performance and compensation constitutes a Ninth supplement to the Parties'Existing Agreement and supplements and amends the scope of work, period of performance and compensation, with such additional provisions agreed upon by the parties for good and sufficient consideration, the receipt of which is hereby acknowledged. Provide technical support to the Flood Authority, Centralia, and other participating communities on retrofitting buildings. 2. Work with the Department of Ecology to develop a flood proofing strategy. This will include drafting the community participation criteria and standards for an inventory of flood prone buildings in the Basin. 3. Assist additional communities to prepare area analyses to identify candidates for building protection projects. 4. Provide technical assistance to the twelve Basin communities working to improve their floodplain management programs and CRS participation. 5. Assist Aberdeen, Hoquiam, and Grays Harbor County with their applications to join the Community Rating System 6. Provide guidance and support to Basin communities on administering the recommended improved floodplain management regulatory standards. 7. Assist Chehalis with the latest changes in the Community Rating System and prepare for its five-year verification visit in Fall 2017. 8. Prepare a master public information program that will determine the most appropriate messages to the residents, businesses, and visitors to Lewis County. It will design the details for the credits in Activities 330 (Outreach Projects) and 370 (Flood Insurance Promotion) and will help direct a variety of other activities. The work will follow the seven step process delineated in the CRS Coordinator's Manual 9.
