WHEREAS, Lewis County has developed a Capital Facilities Plan, and
WHEREAS, the Capital Plan is in need of updating to continue to serve Lewis County well
into the future, and
WHEREAS, the Board of County Commissioners has requested qualifications from
Architectural and Engineering firms interested in providing such services, had said statements reviewed,
selected firms that were interviewed by a selection committee and received a recommendation from the
committee, and
WHEREAS, the Board of County Commissioners has reviewed the selection process and
agrees with the recommendation of the Selection Committee,and,as required by RCW 39.80,has negotiated
with selected firms to reach agreement;NOW THEREFORE
BE IT RESOLVED by the Board of County Commissioners of Lewis County, Washington,
that the County, award contracts to KMB Architects of Olympia, WA.
BE IT FURTHER RESOLVED THAT THE Director of Central Services is authorized to
sign on behalf of the Board of County Commissioners,upon presentation of a contract acceptable to the Board

KMB is pleased to present this fee proposal for architectural and engineering (NE)services for the Lewis County Capital
Facilities Plan project.
Project Understanding
Lewis County is in the process of updating the GMA Comprehensive Plan for the County. As part of this process,the
County's Capital Facilities Plan is also undergoing revision to meet anticipated future needs outlined in the
Comprehensive plan. It is anticipated that the Capital Facilities plan will include several capital projects including new
construction and renovation of existing facilities.
As part of the Capital Facilities Plan, KMB will perform programming of the Juvenile Justice Center; Public Works,
Emergency Management, and E911 facility;and Community and Health Services Facility. KMB will also provide Master
Planning Services for how the campuses can potentially be developed, analyzing land availability, utility and service
availability;and determine phasing strategies for each campus future development.
Proposed Scope of Services
KMB proposes to provide design services for programming and needs analysis. The following summarizes the proposed
project team:

C. Cost Estimating—JMB Consulting—Jon Bayles
Future phase of professional design services from schematic design through project closeout would be mutually
negotiated with Lewis County in the future.The scope of work for design services includes Architectural, Interiors,
Structural, Mechanical, Electrical, Civil Engineering, landscape Architecture, security consulting, hazardous materials
assessment, and cost consulting.

KMB proposes to provide the following design services for programming and needs analysis phase of the project:
• Review all existing Capital Facilities Plan and previously prepared departmental planning and operations
documents.
• Review and incorporation of Lewis County capital projects currently in process of predesign, design, or
construction.
• Facilitate meetings with Lewis County representatives,community stakeholders, etc. to better understand goals
and direction for capital facilities plan and masterplan.
• Comprehensive facilities assessment is not part of this scope of work. The project scope assumes existing
condition assessment data for buildings will be made available for review. Conclusions from existing data will be
made as to needs and corrective actions. The baseline information provided will be augmented by the team
observations,feedback from facilities personnel etc..The team will request utilities conditions and other
infrastructure needs information from Lewis County facilities personnel.
• Staffing Analysis based on current operations and staffing levels.
• Programming Needs Analysis
o It is anticipated that there will be approximately 11 separate work groups that the design team will be
meeting with individually or as a larger collective group at different times throughout the programming
phase.
o Work Groups/Departments including but not limited to Juvenile Corrections, Juvenile Program, Juvenile
Court, Public Works, Emergency Management, E911 Services, Health Department, Information
Technology, Community Development, Consolidated Permitting Services, and General County Support
Services.
• Establish a program to utilize as basis of design for performing master planning and concept design.
• Analysis of sites to accommodate established program, including: traffic, utilities, parking, pedestrian circulation.
• Analysis of potential parking and vehicle circulation with street and access improvements.
• Prepare concept master plans(maximum of 3)of renovation of existing facilities and/or expansion of new
facilities to accommodate established program. Determine preferred solution to prepare final master plan and
cost models. Lewis County needs to have preliminary cost models by early November 2018 to include in the
FY2019 County Budget adoption session on December 3, 2018.
• Determine phasing (if required) and preferred delivery model of preferred master plan.
• Prepare construction and implementation schedules for preferred master plan to allow for accurate cost
modeling.
• Prepare Cost Models of concept master plans(maximum of 3) and final cost model of preferred master plan.
• The Lewis County does not have any requirements for conforming with sustainability requirements including
LEED,WELL Building, NetZero, Net Zero Ready, 2030 Challenge, Green Globes, etc..
• Collaborate with Lewis County to hold one(1)community open house to educate the community on the process,
options and preferred master plan solutions.
• Participate in one(1) BOCC presentation on process, options and preferred master plan solutions.

Thank you for inviting us to submit an offer for construction cost consulting services on this project.
We understand that the general scope of the project shall be the planning and for the development and
construction for the following potential programs:

SCOPE OF SERVICES
For this project we propose the following basic service work items:

1.1 Prepare a single opinion of probable construction cost for no more than one preferred scheme at the
following phases of design for each of the three programs:
1.1.1 Pre-design phase
1.1.2 Each opinion shall consist of no more than one section including the respective building and site
work for each site for each of the projects.
1.1.3 No alternative systems studies are included.
1.2 Cost opinions shall be presented in the Uniformat II format.
1.3 One meeting in Lewis County and no site visits are included for this work item. It is assumed any
meeting or conferencing shall take place via telephone and/or internet based solutions.

QUALIFICATIONS
JMB Consulting Group maintains the following insurance coverage. Additional insurance requirements can
be provided at additional cost.
General Liability and Hired/Non-Owned Auto: $1,000,000 per claim;$2,000,000 aggregate
Professional Liability: $1,000,000 per claim;$2,000,000 aggregate
The fees are valid for ninety days from the date of this proposal. Should our understanding of the scope or
any of the above tasks be deleted from our scope of services,we reserve the right to adjust the above fees, to
reflect possible resultant changes to the scope of the remaining service.
The fee assumes that drawings, specifications and reports required for the performance of our work will be
provided both in hard copy and electronically (drawings shall be in a standardized scalable pdf format), at no
cost to JMB Consulting Group LLC. This offer assumes our deliverables shall be provided electronically and
that no printed copies are required.
Reimbursable expenses,including printing, reprographics charges, travel beyond a 100-mile round trip of this
office and interstate-shipping charges will be charged at cost,no multiplier,
ADDITIONAL SERVICES
Except as noted above,all other services,including additional estimates,cash flow models,development or
coordination of project costs,revisions to completed estimates,use of different estimating formats,additional
meeting attendance,value engineering,life cycle costing,reconciliation with cost estimates prepared by other
parties beyond that specifically included above,or bidding and construction phase services shall be additional
services.
Unless otherwise agreed prior to the work being carried out,our fees for any additional services will be based
on time expended at our normal billing rates prevailing at the time the work is carried out. Valid through

Provide a pre-design civil narrative and site sketches for three sites near Chehalis, Washington addressing
development evaluation, site utility confirmation, and conceptual site planning for the three project sites.

TERMS AND CONDITIONS
KPFF, Inc. ("KPFF")shall perform the services outlined in this agreement pursuant to the stated fee arrangement.
1.Additional Services
Should the Scope of Services change from those set forth in the Agreement for Professional Services, the fee for
such additional services will be negotiated between Client and KPFF.
2. Limitation of Liability
To the greatest extent allowed by law, the aggregate liability of KPFF for any and all injuries, claims, demands,
losses, expenses or damages, of whatever kind, arising out of or in any way related to this Agreement or the services
provided by KPFF on this project, shall be limited to $50,000 or the total fee received by KPFF pursuant to this
Agreement, whichever is greater. Further, no officer, director, shareholder or employee of KPFF shall bear any
personal liability to Client for any and all injuries, claims, demands, losses, expenses or damages, of whatever kind or
character, arising out of or in any way related to this Agreement or the services provided by KPFF on this project.
3.Mediation
All disputes between Client and KPFF arising out of or relating to this Agreement shall be submitted to nonbinding
mediation prior to commencement of any other judicial proceeding.
4. Dispute Handling
KPFF shall make no claim against Client without first providing Client with a written notice of damages and providing
Client thirty (30) days to cure before an action is commenced. The Client shall make no claim either directly or in a
third party claim, against KPFF unless the Client has first provided KPFF with a written certification executed by an
independent professional currently practicing in the same discipline as KPFF and licensed in the state of the subject
project. This certification shall a) contain the name and license number of the certifier: b)specify each and every act
or omission that the certifier contends is a violation of the standard of care expected of a professional performing
professional services under similar circumstances; and c) state in complete detail the basis for the certifiers opinion
that each such act or omission constitutes such a violation. This certificate shall be provided to KPFF not less than
thirty(30)calendar days prior to the presentation of any claim or the institution of any judicial proceeding.
5.Suspension of Services
If Client fails to make payments to KPFF in accordance with this Agreement, such failure shall provide KPFF the
option to suspend performance of services under this Agreement upon seven (7) days written notice to Client. In the
event of a suspension of services, KPFF shall have no liability for any delays or damages caused because of such
suspension. Before resuming services, KPFF shall be paid all sums due prior to suspension and any expenses
incurred by KPFF in the interruption and resumption of its services. KPFF's fees for the remaining services and time
schedules shall be equitably adjusted. If any invoice is in dispute, Client shall pay under written protest to keep the
project on schedule and resolve the payment dispute after substantial completion.
6.Termination
This Agreement may be terminated by either party with seven (7) days written notice to the other in the event of a
substantial failure of performance by the other party through no fault of the terminating party. If this Agreement is
terminated, KPFF shall be paid for services performed to the termination notice date, including reimbursable
expenses due.
7. Ownership of Documents
The drawings, calculations and specifications are instruments of service and are, and shall remain, the property of
KPFF, whether the project for which they are made is executed or not. They are not to be used on other projects or
extensions to this project except by agreement in writing.
8. Contract Administration
It is understood that KPFF will not provide design and construction review services relating to safety measures of any
contractor or subcontractor on the project. Further, it is understood that KPFF will not provide any supervisory
services relating to the construction for the project. Any opinions solicited from KPFF relating to any such review or
supervisory services shall be considered only as general information and shall not be the basis for any claim against
KPFF.
9. No Third Party Beneficiary
Nothing in this Agreement shall create a contractual relationship with or a cause of action in favor of any third party
against KPFF or Client.
10. No Assignments
Neither party to this Agreement shall transfer, sublet or assign any rights under or interest in this Agreement
(including but not limited to monies that are due or monies that may be due) without the prior written consent of the
other party.
11. Payments
KPFF will submit monthly invoices. Payment is due on the date of the invoice and becomes delinquent one month
thereafter. A late charge will be added to delinquent amounts at the rate of one-and-one-half percent (1 '/2 %) for
each one month of delinquency(or the maximum allowable by law, whichever is lower).

Description
in 1997 Lewis County adopted a Capital Facilities Plan intended to assist the County in identifying and meeting
space needs for a period of 20 years. While this document has served the County well, the 20 year intended life
has passed and in order to assess, review and plan for Facilities and Building needs into the future, the Capital
Plan needs updating to reflect the current and future needs of the County.
A Request for Qualifications was issued and responses were as follows:
Architects Rasmussen Triebehorn, Tacoma, WA
KMB Architects, Olympia,WA
Both firms gave presentations and were interviewed by a selection committee consisting of the Capital Facilities
Planning Committee (CFP) and a recommendation was made to proceed in the selection process with KMB
Architects as required under RCW 39.80.
KMB Architects has presented and acceptable proposal and it is the recommendation of the CFP that KMB
Architects be retained to provide consultant services for the Capital Facilities Plan Update.
