BETWEEN THE LEWIS COUNTY SHERIFF )
AND NAPHCARE, INC )
WHEREAS the parties wish to modify the Agreement pursuant to Section 10, General Conditions,
and
WHEREAS the Sheriff has determined that the interests of the public are best served by accepting
the agreement for an additional FTE RN Position, and
WHEREAS the original agreement signed in open Session January 306, 2017 shall remain in full
force with the following additional and/or modification fully incorporated into, and
WHEREAS, it appears to be in the best public interest to authorize the execution of said
agreements
NOW THEREFORE BE IT RESOLVED that the Sheriff or, in his absence, the Undersheriff or
Corrections Chief, is authorized to sign the subjoined Agreement on behalf of Lewis County

THIRD AMENDMENT TO PERSONAL SERVICES AGREEMENT
This Agreement, made and entered into on the day of December, 2018, is effective
on January 1, 2019, is the Third Amendment to the Personal Services Agreement made and
entered into on the 1St day of February, 2017 by and between NaphCare, Inc ("Contractor") and
Lewis County ("County"), as well as to all exhibits thereto("Agreement").
WHEREAS, the parties wish to modify the Agreement pursuant to Section 10, General
Conditions.
NOW THEREFORE, the Agreement shall remain in full force and effect with the
following addition and/or modification fully incorporated thereto.
I Exhibit A (Scope of Work), Contractor's Staffing shall be deleted in its entirety
and replaced with the following which provides for the addition of one FTE RN
position.
