IN THE MATTER OF:

WHEREAS, by Resolution the Lewis County Board of County Commissioners approve
funding in the amount of $1,125,000 00 for the "Mickelsen Parkway Construction" a project to
serve future demand, a project that meets the definition of a "public facility" under RCW
82 14 370, and
WHEREAS, the Comprehensive Economic Development Strategy (CEDS) is a list of
projects maintained by the Lewis County Economic Development Council (EDC) RCW 82 14 370,
and
WHEREAS, the Lewis County Public Works Department has applied for 09% funds to
conduct the "Mickelsen Parkway Construction" project, which is necessary in order to construct
approximately 3,500 feet of new roadway and utilities and will provide access from the Winlock
Industrial Park to State Route 505, and,
WHEREAS, the Board of County Commissioners has reviewed a proposal and request
from the Lewis County Public Works Department for $1,125,000 00 of 09% funds for the
"Mickelsen Parkway Construction" project, and,
WHEREAS, it appears to be in the best interest of the citizens of Lewis County that these
funds be authorized in order to allow completion of this project to support employment growth and
provide for important job and business retention
NOW THEREFORE BE IT RESOLVED by the Board of County Commissioners approve
the Memorandum of Understanding with the Lewis County Public Works Department for the
"Mickelsen Parkway Construction" project, using monies from the Distressed Counties 09%
Fund, pursuant to RCW 82 14 370 and amending the Community Economic Development
Strategies (CEDS) list to include that project in the county's overall economic development plan
and the County Engineer is authorized to sign

MEMORANDUM OF UNDERSTANDING
This Memorandum of Understanding (MOU) is made and entered into by Lewis
County and the Lewis County Public Works Department as to the conditions for acceptance
of monies by the County from the "Distressed Counties Fund" pursuant to RCW 82 14.370
I PURPOSE
RCW 82 14 370 authorizes the availability of a sales and use tax to be used to finance
public facilities serving economic development purposes in rural counties The name of this
project shall be "Mickelsen Parkway Construction" and shall be funded in the amount of a
grant for $1,125,380
II ELIGIBILITY
The project must be listed as an item in the officially adopted County Community
Economic Development Strategy and must meet other requirements as set forth by County
resolution, adopted policy, and growth management planning Monies collected shall only be
used to finance public facilities serving economic development purposes in rural counties
III APPLICANT'S RESPONSIBILITIES
Upon approval of application by the Lewis County Commissioners, applicant agrees
that

funds shall revert to the Lewis County "Distressed Counties Fund" For purposes
of being "in progress", the project must have proceeded beyond the initial planning
stage, and into the implementation, design or permitting stages of the project The
Lewis County Public Works Department shall promptly notify Lewis County Board
of County Commissioners (BOCC) and the Lewis County Economic Development
Council (LCEDC) in writing of any actual or anticipated event that is delaying or
could delay achievement of any milestone or performance of any critical path
activity of the project A one-time only six-month extension may be granted if
applicant can demonstrate significant progress towards project completion
2 Applicant must provide semi-annual progress reports to the LCEDC and the BOCC
in order to ensure satisfactory completion of the project and proper expenditure of
grant monies The scope of project work is as contained in the "Mickelsen
Parkway Construction" application dated May 21 , 2019 and is hereby incorporated
by reference into this MOU Failure to provide progress reports or sufficient report
information may result in reversion to the "Distressed Counties Fund" of all or part
of the funding balance At such times as the BOCC deems necessary for
reasonable cause, Lewis County Public Works shall permit the County Auditor to
inspect and audit all pertinent books and records of Lewis County Public Works or
other persons or entities that have performed work in connection with or related to
this funding

3 Lewis County Public Works has requested these funds in order to finalize the
engineering and design, permitting and construction of Mickelsen Parkway The
Mickelsen Parkway project will include construction of approximately 3,500 feet of
new roadway and utilities and will provide access from the Winlock Industrial Park
to State Route 505 Once construction is complete, Mickelsen Parkway will be
owned and maintained by Lewis County Public Works Failure to comply with the
intent of this section may result in reversion to the "Distressed Counties Fund" of all
or part of the funding balance
4 Funding to complete the full project as presented in the "Mickelsen Parkway
Construction" application must be confirmed and available prior to release of these
grant funds Failure to comply with this section may result in reversion to the
"Distressed Counties Fund" of all or part of the funding balance
5. Applicant shall provide documented evidence of expenditures of all funds for this
project at the semi-annual updates denoted in item #2 (or within 60 days of project
completion) to both the LCEDC and the BOCC Funds spent under this program
must be for the purpose of financing public facilities or supporting related economic
development projects, as defined under RCW 82 14 370 and AGO 2002, No 1
Failure to comply with this section may result in reversion to the "Distressed
Counties Fund" of all or part of the funding balance
6 Billings and invoices together with audit-sufficient supporting documentation shall
be remitted to the Lewis County Commissioners Clerk of the Board for payment not
more than one time each month Lewis County Public Works will be responsible
for the timely sharing and/or exchange of any or all documentation related to the
project as well as accounting and record retention responsibilities for the project
7 Lewis County Public Works shall comply with and give notices required by all
federal, state, and local laws, ordinances, rules, regulations, and lawful order of
public authorities applicable to performance of the project
IV ENTIRE MEMORANDUM OF UNDERSTANDING
This Agreement represents the entire Agreement between the parties and supersedes
any prior oral statements, discussions or understandings

8:30 A.M.: call to order by Dan Rich
Committee Members Present. Dan Rich, EDC Chair, Dennis Dawes, City of

8:30 A.M.: Lee Coumbs made a motion to approve minutes from the March
8, 2019 meeting Dennis Dawes provided a second to the motion Edna Fund
asked that an amendment to the minutes be made to include the amount of
$300,000 that the City of Winlock project was awarded for the Water Main
Extension The motion to amend and approve the minutes passed
unanimously,
8:35 A.M.: Matt Matayoshi provided a brief overview of the 09 funds
unencumbered balance In May of 2019 the available balance was 1 8 million
with 1 million in reserves
Dennis Dawes posed the question of why there are varying interest rates
varies between different projects Matt stated that the rate is negotiated, and
each project is treated differently Lee Coumbs agreed that there needs to be
uniformity for the rate but also stated that the rate should be between 1-3%.
Dennis Dawes made a motion that staff do some research and report back to
the committee with guidance concerning this issue Edna Fund provided a
second to the motion. The motion passed unanimously
8:40 A.M.: Matt provided a review of the 09 funding policy. The funding
policy is a recommended guideline and is not binding He stated that there
should be a split of loan and grant funds Edna Fund stated that as it is
policy, the commissioners have the ability to change funding for each
project Buck Hubbert expressed that the final decision for larger awards
should be left to the discretion of the commission to approve. Matt stated
that he will bring back a draft policy to the next 09 meeting in September
8:50 A.M.: Matt presented the City of Winlock's, Mickels n Parkway
Construction application for the grant request amount of $1,125,380.00 The
state legislature has made a match of $750,000 and Benaroya will be
providing a match of 1 2 million Lisa Goodman provided the committee with
information regarding Benaroya's support and involvement of the project
Lisa stated that from King County and South there are no large industrial
sites available Only Lewis County has this capability She stated that without
the Mickels n Parkway Benaroya cannot market the industrial area and it is
not ready for development Benaroya has spent over 1.8 million over the last
three years doing improvements to the site
Buck Hubbert asked if there was a bid on the price for building the road Don
Bradshaw provided the committee with a preliminary estimate for Mickels-on
Parkway Lisa stated that March of 2021 is the deadline for the completion of
the road
Lee Coumbs asked if sewer has been addressed Don stated that sewer will
come next year. He stated that when the road is under construction sewer
will immediately follow Edna Fund stated that there needs to be a
chronological plan in place where the county and all partners involved are
working together so the project does not unexpectedly get hung up
Josh Metcalf stated that a county inspector will be on site to ensure the road
will be done to County standard. The County will review construction and
storm water plans We want to do everything we can to move the project
forward Josh stated that he would like to see a proposal to Department of
Transportation for the truck lane
9: 50 A.M.: Buck Hubbert made a motion that the $1,125,380 be allocated
to the City of Winlock with the caveat that the County Commissioners be
provided with all pertinent information and a timeline for project Lee
Coumbs provided a second to the motion The motion to approve was
unanimous.
10:00 A.M.: The University of Washington application was presented by
Matt Bob Guenther stated that the grant request is for 5120,000 for a
biorefinery development and engineering analysis study to address economic
and environmental benefits of establishing a bio hub in Lewis County Buck
Hubbert asked how much it would cost to build a plant. Bob Guenter stated
that it would cost 5150 million to build a refinery Buck asked if there is one
in the U S. Bob Russell stated that there is one currently being built in
Malaysia The study will show if Poplar trees can be grown in areas where
hardwoods are not growing
Dennis Dawes made a motion that funding be approved for $120,000 Edna
Fund provided a second to the motion The motion to approved is
unanimous

Summary
Much of the following language is gleaned from the letter drafted by Benaroya that is dated
April 10, 2019 and addressed to Representative Ed Orcutt The other language in this
document is derived from Jon Hinton's, Gray & Osborne engineering project description
Overview
The timing of this project is important as the agreement with the Mickelsen family requires
completion of the construction of Mickelsen Parkway on or before February 18, 2021
The developer of the 320-acre Winlock industrial park, The Benaroya Company has invested
over $1.8 million in site development costs over the years and will spend an additional
$440,000 to relocate the PSE gas line that currently bisects the property, negatively impacting
future development Additionally, Benaroya has committed to fund $1 2 million to construct
Mickelsen Parkway Their commitment matched with funding of$750,000 from the Legislature
during the 2019 session totals $1,950,000 in funding to construct Mickelsen Parkway This
leaves a funding gap of an estimated $1,125,380 million In order to effectively compete with
the other available industrial sites, this site needs to have access for trucks through the planned
Mickelsen Parkway and it needs to be available at a price that is attractive enough for a user to
choose to be in Winlock Benaroya believes that to be achievable, however, the cost of the
improvements needed to make this happen exceeds the increase in value They are willing to
invest an additional $1 2 million in the cost of this infrastructure but without the support of the
public funding the cost of the infrastructure improvements aren't viable at this time Without
the enhanced access provided by Mickelsen Parkway it will in all likelihood be a very long time
before this property and Winlock will be able to attract a significant user whose new facility will
provide jobs and an increased tax base for Winlock and for Lewis County Without this funding
to provide access, the Winlock Logistics Park will not be marketable or viable for development
Upon the completion of the Mickelsen Parkway project the site will be closer to becoming
shovel ready for future distribution and industrial clients The Winlock site is along the
Interstate 5 corridor between Portland and Seattle and can accommodate a single building of
more than 1.5 million SF This site can accommodate a total of more than 3 5 million SF
resulting in long-term positive economic impact and significant future job creation
The Benaroya Company has engaged a highly recognized real estate brokerage team to lead the
effort to market the Pacific Northwest Regional Logistics Center When funding for Mickelsen
Parkway is confirmed, NAI Puget Sound Properties will be able to begin aggressively marketing
the site nationally and internationally With the completion of Mickelsen Parkway, the site will
be much more attractive to prospective users NAI will target corporations with requirements
to serve both Portland and Seattle markets, with particular emphasis placed upon service to the
entire Pacific Northwest In addition to presenting the Winlock site to the NAI Global Logistics
Group (the group is comprised of many of the top logistics brokers in the U S ), the brokers will
leverage efforts through NAIOP (Commercial Real Estate Association), SIOR (Society of
Industrial and Office Realtors), ICSC (Retail and E-Commerce), Washington State Department of
Commerce, and the Lewis County Economic Development Council
Mickelsen Parkway Project Description
The proposed roadway into the Winlock Industrial Park (the Mickelsen Parkway) will include the
design and construction of an approximately 3,530-foot roadway consisting of two 12-foot wide
paved travel lanes with gravel shoulders, storm drainage and storm treatment facilities The
Project would also include the design and construction of approximately 3,530 feet of 12-inch
water main and appurtenances (hydrants and isolation valves) within the roadway shoulder
section and approximately 3,530 feet of 12-inch gravity sewer (with approximately nine
manholes) located within the roadway The sewer would be designed and constructed to
connect with the future sewer facility proposed within the SR 505 right of way The future SR
505 sewer system would convey wastewater from Mickelsen Parkway to the City's existing
collection system at Roundtree Blvd
Estimated Project Costs
$2,795,800 plus $279,580 (10% contingency) = $3,075,380*
*The property owner (Benaroya) has agreed to commit $1.2 million dollars of funding towards
the design and construction of this project The Washington State legislature has committed
$750,000 The shortfall is $1,125,380
Schedule
Assuming the preliminary design prepared in 2011 can be finalized with minimal revisions the
estimated design completion date for this project could occur as early as two to three months
after the City executes a contract with their design consultant (based on funding
appropriation) If additional efforts are required due to the high-pressure gas line easement,
meeting additional County requirements or additional environmental constraints, at least
another month may be required for design completion Construction could be completed in 4 5
to 5 months if started in spring but would take longer if construction is delayed until late
summer When taking into account quality, time of construction and total cost, the optimal
schedule is to complete planning and sewer work in 2019, begin paving in Spring, 2020 with
completion in the summer of 2020 The Mickelsen family has indicated they are not inclined to
provide an additional extension to the agreement Per the existing agreement, all work must
be completed prior to February 18, 2021
With the support of public funding in collaboration with the developer to provide access to the
site, Winlock can become an attractive location for cost-conscious users looking to locate a
large distribution facility With this funding, it is our hope and expectation that this site in
Winlock will be a viable option improving the economy in Winlock a decade sooner than it
otherwise would
