IN THE MATTER OF: RESOLUTION NO. 21-241
APPROVING MEMORANDUM OF UNDERSTANDING
BETWEEN LEWIS COUNTY AND PROVIDENCE
HEALTH AND SERVICES WASHINGTON TO
INCLUDE THE DRIVE-THRU MASS VACCINATION
EVENT THAT OCCURRED ON JANUARY 24, 2021
WHEREAS, the Board of County Commissioners reviewed the Memorandum of
Understanding with Providence Health and Services Washington, which includes
the Drive-thru Mass Vaccination event that occurred on January 24, 2021; and
WHEREAS, the Memorandum of Understanding changes the original contract to
include the Drive-thru Mass Vaccination event that occurred on January 24, 2021;
and
WHEREAS, no funding impact with original budget remaining at $2,000,000
through April 21, 2021; and
WHEREAS, it appears to be in the best public interest to authorize the execution
of said contract for Lewis County.
NOW THEREFORE BE IT RESOLVED that the Memorandum of Understanding
between Providence Health and Services Washington and Lewis County include
the start date of January 21, 2021. This MOU is hereby approved and the Director
of Public Health & Social Services is authorized to sign the same.

Description
The purpose of the amendment is to update the COVID-19 Drive-Thru Vaccination Event
Professional Service Agreement between Lewis County Public Health & Social Services and
Providence Health and Services Washington to abide by grantor funding requirements specifying
services be contracted within preset 90 day increments. The 90 day increment reflected in this
amendment will be ending on July 20, 2021.
Additionally, the start date of the PSA is being updated to January 21, 2021 to allow Providence to
invoice for the Drive-thru Mass Vaccination event that occurred on 1/24/2021.
There is no change to the budget as laid out in the original agreement.

Purpose
The purpose of this amendment is to:
• Change DURATION OF AGREEMENT
Original duration -February 26, 2021 through December 31, 2021
Previously Amended-February 26, 2021 through April 21, 2021
Hereby Amended—January 21, 2021 through July 20, 2021
The need to amend is driven by grantor funding requirements specifying services be
contracted within a timeline of 90 day increments.
The start date of the PSA is also being amended due to the first COVID-19 mass
vaccination event serviced by Providence having occurred prior to the February 26th start
date listed in the original agreement. This will allow Providence to invoice for the service
that was provided at the request of LCPH&SS.
The PSA will be hereby amended to reflect a start date of January 21,2021; and the term of
the agreement will be extended for the next 90 day timeline ending on July 20,2021.
It is mutually agreed therefore that the original PSA, COMMUNITY COVID-19 DRIVE-THRU
VACCINATION EVENT is hereby amended as follows:
1. DURATION OF AGREEMENT
The term of this Agreement shall begin on January 21, 2021 and shall terminate on July
20, 2021 unless amended or terminated per Sections 7 and 10 of this Agreement.
