IN THE MATTER OF: RESOLUTION NO. 21-338
APPROVE AMENDMENT C BETWEEN LEWIS
COUNTY AND BIRD'S EYE TO CORRECT
SCRIVENER'S ERROR AND ADD SERVICES
WHEREAS, the Lewis County Board of County Commissioners (BOCC) approved
Amendment B (Birdseyemedical MassVacCOVID-19-B) with Bird's Eye Medical via
Resolution 21-285 on August 3, 2021; and
WHEREAS, Amendment B provided an additional $280,000 in funding, increasing
the total amount of funding provided for the period of January 21, 2021, through
October 18, 2021, to $1,030,000, but it contained a scrivener's error that
incorrectly identified the total amount of funding provided for the coverage period
as $1,360,000 on the agreement; and
WHEREAS, Lewis County and Bird's Eye Medical wish to correct the scrivener's
error through Amendment C (#Birdseyemedical MassVacCOVID-19-C), which
corrects the total amount of funding to $1,030,000; and
WHEREAS, services are added to the Statement of Work and Reporting
Requirements; and
WHEREAS, it appears to be in the best public interest to authorize the execution
of said contract.
NOW THEREFORE BE IT RESOLVED that Amendment C
(#Birdseyemedical MassVacCOVID-19-C) between Lewis County and Bird's Eye
Medical to provide COVID-19 vaccine consultation, coordination, and
administration corrects a scrivener's error providing a total of $1,030,000 from
January 21, 2021, through October 18, 2021, and changes the Statement of Work
is hereby approved and the Director of Public Health & Social Services is
authorized to sign the same.

Description
Resolution 21-285 approved Amendment #Birdseyemedical_MassVacCOVID-19-B on
August 3, 2021. The agreement had a scrivener's error in it regarding the total budget.
The total amount stated $1,360,000 but should be $1,030,000 so this is corrected in this
amendment.
Bird's Eye Medical provides COVID-19 mass vaccine consultation, coordination, testing
and administration within Lewis County. Due to grantor funding requirements, the services
are contracted in 90-day increments.
'Testing Strike Team' services are being added to the Statement of Work and Reporting
Requirements, and are described under Task #2 of Exhibit A of this amendment.
The 'Price Schedule' in the contract budget details is being updated due to the addition of
testing services provided by Birds Eye, and the addition of Laboratory Testing of samples
which will be invoiced to the County at cost. Changes to the `Price Schedule' are
contained in Exhibit B of this Amendment. There are no budget changes to the contract at
this time.

Purpose
• Add Task#2, `Testing Strike Team' to Exhibit A: Statement of Work and
Reporting Requirements.
The need to amend is driven by the need to add COVID-19 testing to the scope of work
performed by Bird's Eye Medical. It is mutually agreed therefore that the original MOU,
`Birdseyemedical_MassVacCOVID-19, Bird's Eye Medical Mass Vaccination COVID-19' is
hereby amended as described in Exhibit A of this Amendment.
• Update `Price Schedule' as described in Exhibit B: Budget, Invoicing,and Payment.
The need to amend is driven by additional deliverable COVID-19 `Testing Strike Team' services
under Task#2 added to the scope of work via this amendment. These services were not listed in
the original MOU with Birds Eye Medical. Services will be invoiced in accordance with the new
Price Schedule table as described in EXHIBIT B of this amendment.
• Confirm budget total of$1,030,000.
The need to amend is driven by a clerical error contained in the text of the `Purpose' section of
Amendment Birdseyemedical_MassVacCOVID-19-B, the budget was correctly listed under the
Price Schedule of Birdseyemedical_MassVacCOVID-19-B and correctly listed in Resolution 21-
285. For the purpose of clarification,the original budget for Birdseyemedical_MassVacCOVID-
19 was $750,000 and additional funds in the amount of$280,000 were added to the contract
under Amendment Birdseyemedical_MassVacCOVID-19-B. No additional funds are being
added under this Amendment,however funds may be added in the future via a subsequent
amendment signed by all parties if services are still required and funding is available.
The term of this MOU is currently scheduled to commence on 1/21/21 and terminate on
10/18/21. The term may be extended in 90-day increments in accordance with grantor funding

requirements if services are still required in the best interest of the health and safety of the
residents of Lewis County and funding is still available.
All other terms and conditions of the original MOU and any subsequent amendments hereto
remain in full force and effect with the exception of the clerical error in Amendment
Birdseyemedical. MassVacCOVID-19-B; which is hereby identified and corrected via this
Amendment, Birdseyemedical_MassVacCOVID-19-C. The parties signing below represent they
have read and understand this amendment,and have the authority to execute this amendment.

The purpose of this Statement of Work is to detail the work to be performed by BIRD'S EYE
and the methods and content for reporting progress by BIRD'S EYE in fulfilling all duties
encompassed in this MOU.
The term of this MOU shall commence on 1/21/21 and terminate on 10/18/21.
