LEWIS COUNTY PUBLIC HEALTH AND SOCIAL
SERVICES AND PROVIDENCE HEALTH & SERVICES
WASHINGTON D/B/A PROVIDENCE MEDICAL
GROUP SOUTHWEST WASHINGTON
WHEREAS, the Lewis County Board of County Commissioners (BOCC) has
reviewed Amendment 3 to Professional Services Agreement "Community
COVID-19 Drive Thru Vaccination Event" with Providence Health & Services
Washington d/b/a Providence Medical Group Southwest Washington to provide
COVID-19 Vaccination events for community members in non-traditional
healthcare settings; and
WHEREAS, these services include vaccine management, patient scheduling,
vaccine administration, on-site check-in and a COVID vaccine call and email
center; and
WHEREAS, this amendment does not change the original budget consideration;
and
WHEREAS, this amendment revises the original contract duration from January
21, 2021, through July 20, 2021, to October 1, 2020, through July 20, 2021, in
order to reimburse Providence for services rendered; and
WHEREAS, it appears to be in the best public interest to authorize execution of
said amendment.
NOW THEREFORE BE IT RESOLVED that Amendment 3 to Professional Services
Agreement "Community COVID-19 Drive Thru Vaccination Event" between Lewis
County and Providence Health & Services Washington d/b/a Providence Medical
Group Southwest Washington to provide COVID-19 Vaccination events for
community members in non-traditional healthcare settings from October 1, 2020,
through July 20, 2021, and does not change the original budget consideration, is
hereby approved, and the Interim Director of Public Health and Social Services is
authorized to sign the same.

THIS AMENDMENT NO.3 To that certain Professional Services Agreement("Agreement")
is entered into as of June 17,2022,by and between Providence Health&Services—Washington dba
Providence Medical Group Southwest WA("PMG")and Lewis County,a municipal organization
("County"). PMG and County are sometimes referred to in this Amendment as a"Party"or,
collectively,as the"Parties."
RECITALS
A. PMG and County entered into that certain Agreement dated 1/21/2021 pursuant to
which PMG provided management of community covid vaccination events.
B. The Parties wish to amend the effective date of the agreement and Exhibit A,Sect.1.
AMENDMENT
THE PARTIES AGREE AS FOLLOWS:
1. Effective Date. Subject to the Parties'respective rights as set forth in the Agreement,the
effective date of the Agreement is hereby amended to 10/1/2020,allowing for pre-vaccine work planning
and organizing.
2. Exhibit A.Subject to the Parties' respective rights as set forth in the Agreement,Exhibit
A,Section 1,shall be replaced in its entirety and incorporated herein with the following:
1.The services to be performed by Providence under this Agreement are set forth as follows:
As part of Providence's activity in Lewis County COVID-19 Vaccination Events for community
members,in non-traditional healthcare settings,Providence shall provide the following:
• Vaccine management to include the following:
o Procurement
o Storage/handling
o Transport
o Data reporting
o IIS entry
• Patient Scheduling
• Vaccine administration to include the following:
o All related PPE and Supplies
o Clinical team to administer.
• On site check in staff
• COVID Vaccine Call/email center
3. Capitalized Terms. All capitalized terms in this Amendment shall have the same
meaning given to such terms in the Agreement unless otherwise specified in this Amendment.
4. Continuation of Agreement. Except as specifically amended pursuant to the foregoing,
the Agreement shall continue in full force and effect in accordance with the terms in existence as of the
date of this Amendment. After the date of this Amendment,any reference to the Agreement shall mean
the Agreement as amended by this Amendment.
The Parties have executed this Amendment on the date first above written.
